A business unit receives its own listing, management can present its strategy separately, and investors may be able to value the new company more clearly. For a Hong Kong listed issuer, however, the process involves much more than deciding whether a business is large enough to stand on its own.

After the spin-off, the parent still needs sufficient operations and assets to support its own listed status rather than depending on the business being separated into Newco. The interests of existing shareholders also need to be considered throughout the process.
That quickly becomes an operational issue, not just a legal one.
A finance team will usually need to define which assets, contracts and employees move into Newco, which functions remain shared, and what continuing transactions will exist between the two businesses. It may also need to assess whether either company will remain dependent on the other for customers, financing, management or operational support.
These questions affect financial reporting, internal controls, budgeting and the information required during due diligence.
Timing can create additional pressure. A proposed IPO may involve auditors, sponsors, lawyers, valuers, finance teams and senior management at the same time. If accounting records are incomplete or the boundaries between the two businesses are unclear, small issues identified during planning can become much harder to resolve later.
